Lillian Nganga recorded first major victory against Alfred Mutua after she successfully stopped him from illegally transferring her shares.
Mutua fraudulently transferred Lillian Nganga’s shares to his sister Ann Mutua in a bid to deny her ownership of A&L hotel.
The A&L hotel, which derives its name from the former couple’s initials (Alfred and Lillian), officially opened on July 24th 2020 as a joint venture between the Machakos governor and his ex wife.
A&L Hotel has had a contentious ownership after Lillian and Alfred Mutua parted ways in August 2021.
Lillian claimed to have conceived the idea of the hotel. This led to the birth of Ndash Enterprises, the company that owns the hotel, which was named after her.
At incorporation, Lillian is reported to have had a 100% stake in the hotel, but relinquished 50% of her shares to Mutua when both became personal guarantors for the hotel after receiving a loan facility upwards of Ksh145 million from a local commercial bank.
However, Mutua has been trying to kick out Lillian from the ownership of the hotel. He fraudulently transferred her shares to his sister Ann Mutua.
The Machakos governor transferred 1,800 shares Lillian owned to his sister Ann via lawyer BM Musau.
But Lillian fought back, she petitioned the Registrar of Companies in November 2021 after Mutua illegally transferred her shares to his sister.
On 6th 2022, the Registrar of Companies successfully reversed the 1,800 shares back to Lillian Nganga.
“The fraudulent transfer of my 1800 shares by Alfred to his sister Ann via lawyer BM Musau was reversed by the Registrar of Companies on 06.05.2022, after my complaint in November, 2021. Ndash Enterprises Ltd (A&L Hotel mother company) reverts to 50/50 shareholding as shown in the CR12 printed on 09.05.2022,” Lillian Nganga wrote.
Following the victory, Lillian and Alfred will now be forced to sit on the same table to decide the fate of their multi-million shillings hotel as they both hold a 50/50 stake.
But Lillian is not quite yet done with her ex husband, the former Machakos First Lady is seeking to inflict a lot of pain in a lot of places.
Apart from lodging the complaints with the registrar of companies, Lillian also sued Alfred Mutua before the Milimani Commercial Court in which she accused the Machakos governor of hatching the plot to disposes her some properties after they parted ways.
In November 2021, Lillian through her lawyer Philip Murgor claimed Mutua had asked her to take back every property and money he ever gave her or made available to her for her own use for the 10 year period they were married.
“He has demanded through his lawyers that I refund any money he has ever given to me or made available for my use,” Lilian said.
In that regard, she also claimed that Mutua had already taken her personal vehicle and sold it to another party. She said that her ex husband had stormed her home in Kileleshwa without her permission and took the said vehicle.
“Without my knowledge or consent and using a spare key which he had illegally obtained, he drove away from my personal motor vehicle and proceeded to fraudulently transfer the ownership of the car in the logbook into his name, and thereafter sold the vehicle to a third party,” she said.
If Lillian wins the case in court, Mutua will be forced to compensate her for the car he took and this will also mark another major victory for Juliani’s wife.
